These general conditions of sale govern all contractual sales relationships of the products of MONOLAB snc, with registered office in Bergamasco (AL), Viale G. Marconi n. 39 VAT number IT 01021480064 and you partner www.monolabshop.com to exclusively professional customers who ensure that the purchase of the products takes place exclusively for purposes relating to their work activity (hereinafter "Buyer"), within the territory of the Italian Republic, Europe and the entire international territory.
Unless otherwise agreed in writing and countersigned by www.monolabshop.com and the Buyer, hereinafter jointly "Parties", the transmission, by any means, of an order by the Buyer to www.monolabshop.com entails having read and the Buyer's full compliance with the General Conditions of Sale published on the site itself.
The General Conditions of Sale approved pursuant to the previous point will also be valid and effective for all subsequent orders sent by the same Buyer to www.monolabshop.com, until expressly revoked by the latter.
Unless otherwise agreed by both parties, the General Conditions of Sale prevail over any contrary or incompatible provision reported in the order - which will be considered as not included - or provided for in any purchase conditions of the Buyer.
2 - OFFERS
1. The offers of www.monolabshop.com indicated on the site are not to be considered binding, in particular with reference to quantities, prices and delivery terms .
3 - ORDERS AND ORDER CONFIRMATIONS
In any case, the Buyer's Order will constitute a contractual proposal and will be considered accepted only when www. monolabshop.com will have sent the Order Confirmation. In the event that www.monolabshop.com does not provide written confirmation of an order, the issuing of the invoice or the execution of the same will be considered as confirmation.
The order must precisely indicate the code and description of each product, as indicated in the catalogue, the quantity requested for each and its price, as well as the place of delivery.
www.monolabshop.com reserves the right not to accept or partially accept orders at its sole discretion and without having to provide justifications to the Buyer.
4 - PRICES, BILLING AND PAYMENT TERMS
The price of the Product means that indicated in the catalog published on the website www.monolabshop.com . Prices do not include VAT or other taxes (VAT and other taxes will be paid only if the destination of the order requires it). In this case the VAT must be paid at the time of payment of the invoice.
Other taxes (customs duties) are the responsibility of the buyer.
Unless otherwise agreed in writing, www.monolabshop.com will charge the Buyer with the payment of transport costs on the invoice and customs and clearance taxes are the responsibility of the Buyer for each shipment.
We invite you to contact www.monolabshpo.com for a personalized quote. Obviously such offers will be made based on each individual product/code and relative quantity of each individual product/product code.
Payment must be made within the terms and according to the methods specified in the Order Confirmation or in the invoice. For wholesale orders, payment must be made at 50% of the total upon confirmation by www.monolabshop.com and the balance when the buyer receives confirmation that the order is ready for shipment.
Failure to pay within the terms indicated in the invoices (pro forma invoice) will determine the automatic commencement of default interest for the Buyer, without the need for a specific formal notice, pursuant to and for the purposes of the Legislative Decree . 9 October 2002, n. 231 and subsequent amendments .
www.monolabshop.com reserves the right to constantly update and without notice the Prices indicated in the Catalog based on changes in the costs of raw materials, exchange rates or other factors.
In the event of failure, partial or delayed payment by the Buyer, www.monolabshop.com has the right to suspend, at its own discretion, the processing of the order, without this giving the Buyer the right to request payment of penalties or compensation for any damages.
SHIPPING and COMPLAINTS ABOUT SUPPLIES
Unless otherwise agreed in writing between the Parties, the Products are considered sold FREE PORT and always travel at the Buyer's risk.
Delivery is to be considered at street level and will be carried out at the delivery location indicated in the order and in the previous documentation.
Upon receiving the delivery, the Buyer is required to verify, in his own interest and accurately, the state and integrity of the packages, as well as the quantity of the same (verifying their correspondence with what is indicated in the transport document), proceeding , if deemed necessary, when opening the package in the presence of the carrier.
If, following the verification referred to in the previous point, the Buyer finds damage upon receipt of the goods, even attributable to the delivery itself, he must accept the same "with reservation" and notify the commercial/export office of www. monolabshop.com immediately.

N DELIVERY TERMS I DELIVERY
If indicated in the Order Confirmation, delivery times are merely indicative and are in no case binding for www.monolabshop.com
Except as provided in the art. 1229 cc, any delays in delivery will not give rise to any liability on the part of www.monolabshop.com and, unless otherwise agreed in writing between the Parties, will not give rise to any right for the Buyer to cancel the order or ask www.monolabshop.com to l application of discounts, compensation for damages, payment of interest or compensation of any kind.
7 RETURNS
1 In the event that a Product does not correspond to the Buyer's needs, the latter must immediately report it to the commercial/export office of www.monolabshop.com
2 By agreement with www.monolabshop.com the Buyer may, within 5 (five) days of receipt, return the product for replacement or request the issuance of a credit note at his expense.
www.monolabshop.com will proceed with the replacement only if the Product is returned within the period indicated above, in perfect condition, with intact packaging. We do not accept returns for damage caused by transport as this is the customer's responsibility. The return shipping costs will be borne by the buyer. www.monolashop.com reserves the right not to accept the return or to charge any penalty if the notification and receipt of the goods are received after 5 (five) days from receipt of the Product/s.

www.monolabshop.com guarantees, for the period indicated on the labels (from the production date and expiry date), that the Product sold is to be considered free from defects provided that it is stored in premises suitable for storage and used only and exclusively in protected environment , for indicated professional use .
The Buyer must report any apparent defects within 5 (five) days of delivery of the Product and any hidden defects within 5 (five) days of discovery, by means of a written communication to be sent to www.monolab.com
No extension of the aforementioned warranty is offered to you by www.monolabshop.com
In the event that the Buyer reports the malfunction of the Product to the After-Sales service of www.monolabshop.com , after verification and authorization www.monolabshop.com will collect and replace it.
In any case, the warranty does not cover the aesthetic parts of the Product and is void in the event that malfunction(s), defects or damage to the same are due to normal wear and tear, bad or improper use by the Buyer, interventions carried out by unauthorized and adequately trained personnel, tampering or non-observance of what is indicated in any user manual.
Damage caused to the Product by atmospheric agents, improper storage, earthquakes or fires are also excluded from the warranty.
The warranty automatically lapses if the Product serial number is removed, modified or made unrecognizable .
9 WASTE AND DISPOSAL
The Customer(s) assumes responsibility for the elimination of waste in compliance with Legislative Decree 25 July 2005, n. 151, “Implementation of directives 2002/95/EC, 2002/96/EC and 2003/108/EC, relating to the reduction of the use of dangerous substances and the disposal of waste”.
10 CHANGES CHANGES
www.monolabshop.com reserves the right to modify, without notice, the dimensions of the Products shown in the Catalog or Price Lists. These dimensions are in any case indicative and always involve a certain tolerance. In this case customers will be promptly notified.
The photos of the Products must be understood as merely indicative.
The Products photographed may undergo changes between their publication and the distribution of the Catalogue.
In the event that a Product is canceled from the Catalog due to the cessation of production by the manufacturer or force majeure, www.monolabshop.com will communicate the cancellation to the Buyer(s) and will not be required to supply the deleted Product.
11 JURISDICTION AND APPLICABLE LAW
Any dispute arising between the Parties in relation to the validity, interpretation or execution of the General Conditions of Sale and the contracts stipulated between the Parties will be referred to the exclusive jurisdiction of the Court of Alessandria (Italy).
These General Conditions of Sale, as well as any contractual relationship to which they refer between www.monolabshop.com and the Buyer are governed by Italian law .
12 FINAL PROVISIONS
1. The fact that www.monolabshop.com does not at any time assert the rights recognized by any clause of these General Conditions of Sale cannot be understood as a waiver of such rights, nor can it prevent it from subsequently demanding their punctual and rigorous observance.
2. The invalidity and/or nullity and/or ineffectiveness of a clause of these General Conditions of Sale will not lead to the invalidity and/or nullity and/or ineffectiveness of the other clauses. The Parties undertake to agree in good faith on a replacement clause that reflects as much as possible the economic intent they pursue.
